• Manage contracts, tenders, risks, claims, disputes and all issues that are governed by contract with clients, subcontractors, suppliers, partners and inter-office entities.

• Work out measurements and valuations of completed work based on progress at site and prepare invoices for payment.

• Estimate and monitor overall quantities for projects and review subcontractors, suppliers and vendors invoices.

• Participate in the procurement process and review subcontractors, suppliers, vendors quotations for placement of orders.

• Expertise in drafting and interpretation of contract documents enabling to settle issues, avoid disputes and ensure the effective progress of a project.

• Provide junior staff with guidance on their job responsibilities.

• Negotiate with client’s representatives and other consultants.

• Advise project management on contractual implications of intended courses of action.

• Identify, analyze and develop responses to commercial risks.

• Review monthly reports.

• Identify change and implement change control process and agreement.

• Ensure that contract documents are properly executed prior to project commencement.

• Ensure Company’s health, safety and environment policy, procedures, regulations and objectives as they relate to area of responsibility are effectively implemented.

The selected individual will be responsible for general legal support for the Company’s operations, including contract preparation and negotiation, fraud and abuse review, and counseling. He/she will also provide human resource and office management support as needed.

Responsibilities

1. Practiced the Commercial and business Law, Civil Law, International Arbitration, Banking Law, Corporate Laws.

2. Reviewing and Drafting Legal Agreements, Contracts, documents, Memoranda, And all types of agreements( especially Contracting agreement, Settlement Agreement, Joint Ventures, Partnership Agreements Memorandum of Associations .. etc).

3. Providing management with effective legal advice on business issues and company strategies;

4. Review all legal documents, reviewing them to make sure they are effectively drafted and interpreted

5. Familiar with Companies foundations, Business setups, opening branches.

6. Litigations, reconciliation of Disputes.

7. Providing sound Judgment of Legal advices to all departments within the cooperation and whenever needed especially for Procurement and Contracts Departments, HR, i.e familiar with local Labour laws. And other departments. And providing the Company with analysis, recommendations and advises regarding issues where Legal Department is meant to intervenes.

8. Corporate related matters, including but not limited to Shareholders resolutions, board resolutions, and such related matters.

9. Acquisition of Companies, Assets, Properties and such matters with a wide experience of Commercial Transactions.

10. Providing appropriate legal advice towards any dispute between the Company and Third Parties, and to manage the Lawsuits to achieve the aimed purposes.

11. Providing committed HR advice in issues like health and advice, grievance matters, conduct and capability, organizational change and employee and employment relations matters.

12. Leading management of casework including sickness absence, making recommendations, giving support and advice to managers.

13. Preparing ad hoc and regular management reports supporting in improvement of management and monitoring performance management and sickness absence systems.

14. Liaising with operational managers and finance officers in ensuring maintenance of staffing establishments within budgets.

15. Supervising and authorizing the preparation and delivery of appropriate contractual documents regarding terminations, appointments ad employment variations.

16. Undertaking selection and recruitment issues, including creation of job descriptions, selection process, person specifications, completely grading process, and interview panel participation.

17. Keeping up to date information regarding developments in human resources practices, employment legislation, and sharing of knowledge within team.

18. Maintaining and updating computerized and manual payroll and HR information systems and ensuring accurate recording of employment, personal, staffing establishment, and payroll information.

PURPOSE OF THE JOB

•Responsible for marketing and development of Forfaiting in conjunction and close cooperation with local MENA area offices, to their corporate/institutional clients in Mena. This involves providing regular product support and guidance to these HSBC Group offices, by jointly identifying, developing and expanding client relationships. To have active communication with local TSC teams in MENA to ensure a positive working relationship and joint delivery of solutions to existing Group clients and prospective clients.

•Responsible for structuring, pricing and placement (when required) of Forfait transactions. This would involve ensuring proper documentation is strictly followed, vetting and drafting of DC/Reimbursement Authorization wordings, governing the transaction commencing from risk analysis, pricing and offer letters.

•Responsible for risk placement of various trade transactions handled by Group offices. This requires identification and developing new investors in the secondary market, pricing and proper documentation between HSBC and investors (e.g. RiskAgreements).

•Responsible for maintaining the relationship with Investors in MENA

PRINCIPAL ACCOUNTABILITIES

Assist the Head of PMO about the project portfolio analysis, projects status and resource planning.

Production of technical assistance in identifying, evaluating and developing methods and procedures that are efficient, effective and meet good business practice.

RESPONSIBILITIES:

Projects:

. Participate in building relationships within specific projects’ stakeholders and within the Support Group

. Gather detailed business, functional, and technical requirements and provide initial solutions

. Equipped with finance and analysis techniques, will participate in gathering data and analyzing financial models, benefits, and metrics to build a project benefit proposal (Business Cases)

. Draft project briefs, project charters, communication plans, and timeline

. Support project governance guidelines and policies as set in the Project Office procedures (Use of templates, checkpoints, workflow, quality, risks, timesheets, budgets, etc.)
